Who we are
Thinklio is operated by Novansa OÜ, a company registered in Estonia (registry code 17445226), with its registered address at Sepapaja tn 6, 15551 Tallinn, Harju Maakond, Estonia.
When we say “we”, “us”, or “our”, we mean Novansa OÜ. When we say “you” or “your”, we mean you as a customer or user of Thinklio.

1. Acceptance of these terms
By creating an account, accessing the Thinklio platform, or using any Thinklio API, you agree to these Terms and Conditions. If you are using Thinklio on behalf of an organisation, you confirm that you have authority to bind that organisation to these terms.
If you do not agree, do not use Thinklio.
These terms are governed by the laws of Estonia.
2. What Thinklio is
Thinklio is a governed AI agent platform that allows users and organisations to build, configure, deploy, and orchestrate AI agents. Thinklio provides a durable execution environment, knowledge management tools, multi-channel integration capabilities, and associated API surfaces.
Thinklio is a business and productivity tool. It is not intended for consumer use cases involving personal medical, legal, financial, or safety-critical decisions without appropriate human oversight.
3. Who can use Thinklio
You must be at least 18 years old to use Thinklio. If you are using Thinklio on behalf of a business, that business must be a lawfully constituted entity.
We do not knowingly provide access to anyone under 18.
4. Plans and tiers
Thinklio is available on the following plan tiers (subject to change):
- —Solo — for individual users
- —Team — for small teams
- —Business — for organisations requiring advanced features, higher execution limits, and enterprise support
Plan features, limits, and pricing are described on the Thinklio website and may be updated from time to time.
5. Execution credits
Thinklio uses a prepaid execution credit system. Credits are consumed when AI agents execute tasks. The credit cost per execution depends on the complexity of the task and the underlying AI model used.
- —Purchasing credits: Credits are purchased in advance through the Thinklio platform. Payment is processed by Paddle, our merchant of record.
- —Credit expiry: Credits expire as stated at the time of purchase. Unused credits are not refunded on account closure unless otherwise required by law.
- —Running low: You are responsible for maintaining sufficient credits. Thinklio will notify you when your credit balance is low. Agent execution will pause if your balance reaches zero.
6. Subscription and payments
In addition to execution credits, some Thinklio plans include a recurring subscription fee for platform access. This subscription is billed in advance by Paddle on a monthly or annual basis and renews automatically unless cancelled.
- —Cancellation: You may cancel your subscription at any time through the platform settings. Cancellation takes effect at the end of the current billing period. Platform access continues until that date.
- —Price changes: We will give at least 30 days' notice of any subscription price change. Continued use after that date constitutes acceptance.
- —Refunds: Subscription fees are generally non-refundable for the current period, except as required by applicable law. Unused prepaid execution credits may be subject to a separate refund policy stated at the time of purchase.
7. Acceptable use
By using Thinklio, you agree not to use the platform to:
- —build or deploy agents for unlawful purposes
- —generate, distribute, or automate the production of harmful, misleading, or illegal content
- —scrape, spam, or conduct automated attacks against third-party services
- —circumvent security, rate limits, or access controls
- —infringe the intellectual property rights of others
- —process personal data in violation of applicable privacy laws
- —violate the acceptable use policies of any AI provider integrated with Thinklio
You are responsible for the behaviour of agents you create and deploy. Novansa OÜ is the platform operator; we are not responsible for outputs generated by agents you configure.
8. AI and automated decision-making
Thinklio integrates with third-party AI providers (including but not limited to Anthropic and OpenAI). By using Thinklio:
- —you acknowledge that AI outputs may be inaccurate, incomplete, or inconsistent
- —you take responsibility for reviewing AI outputs before relying on them in any consequential context
- —you must not deploy Thinklio agents for fully automated decision-making that significantly affects individuals without appropriate human oversight, particularly where required by EU AI Act obligations or other applicable law
We will update our guidance on EU AI Act compliance as regulatory requirements are clarified.
9. Data you process through Thinklio
You may configure Thinklio agents to process data from your own systems or from users of your own products. In this context:
- —you are the data controller for any personal data you submit to or process through Thinklio
- —Novansa OÜ acts as a data processor on your behalf
- —you are responsible for ensuring you have a lawful basis to process that data
- —you must ensure your use of Thinklio complies with applicable privacy laws, including GDPR
We will process data on your behalf in accordance with our Data Processing Agreement, which is incorporated by reference into these terms and available on request.
10. Intellectual property
- —Platform IP: All software, architecture, brand assets, and technology underlying Thinklio belongs to Novansa OÜ or our licensors. You receive a limited, non-exclusive, non-transferable licence to use the platform as permitted by your plan.
- —Your IP: You retain ownership of agents, workflows, and knowledge content you create in Thinklio. By using the platform, you grant us a limited licence to store and process that content to deliver the service.
- —AI provider IP: Outputs generated by third-party AI models may be subject to the terms of those providers. You are responsible for ensuring your use of AI outputs complies with applicable licences.
11. Confidentiality
If you access Thinklio under a Business plan or enterprise agreement, additional confidentiality obligations may apply under a separate agreement. For all plans, we treat your configuration data, agent logic, and business data with reasonable confidentiality and do not share it with third parties except as necessary to operate the platform.
12. Service levels and availability
We target high availability but do not guarantee uninterrupted service. Planned maintenance will be communicated in advance where possible. Enterprise and Business plans may have separate SLA terms.
13. Limitation of liability
To the extent permitted by law:
- —Thinklio is provided “as is” without warranties of fitness for a particular purpose
- —we are not liable for losses arising from agent behaviour, AI outputs, or decisions made on the basis of AI-generated content
- —we are not liable for service interruptions, data loss, or third-party service failures
- —our total liability to you in any 12-month period is limited to the amount you paid us in fees and credits in that period
Nothing in these terms excludes liability that cannot be excluded under Estonian law or applicable consumer protection law.
14. Termination
- —By you: You may close your account at any time. Unused credits will be handled per the credit policy in effect at that time.
- —By us: We may suspend or terminate access for breach of these terms, harmful or illegal use, or non-payment, with notice where possible. In cases of serious breach or illegal activity, we may act without notice.
15. Changes to these terms
We will notify you of material changes at least 14 days in advance by email or in-platform notification. Continued use after that date constitutes acceptance.
16. Governing law and disputes
These terms are governed by Estonian law. Disputes are subject to the jurisdiction of the courts of Estonia.
Business customers may resolve disputes through negotiation or agreed arbitration before resorting to litigation.
